These Terms and Conditions of Use ("Terms") constitute a legally binding contract between you and OrthoMentors Private Limited.
"These Terms and Conditions of Use ("Terms") constitute a legally binding contract between you ("User," "Tutor," "Editor," "Faculty," or "Student," as applicable) and OrthoMentors Private Limited, a company incorporated under the Companies Act, 2013.("Company," "we," "us," or "our"). These Terms govern your access to and use of the OrthoMentors.ai online orthopaedic learning management platform accessible at www.orthomentors.ai (the "Platform")."
By registering for an account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must immediately cease all use of the Platform.
1. Definitions
For the purposes of these Terms, the following definitions shall apply:

| Company | OrthoMentors Private Limited, a company incorporated and registered under the Companies Act, 2013, and its subsidiaries, affiliates, successors, and assigns. |
| User | Any individual who creates an account or accesses the Platform in any capacity, including but not limited to Students, Tutors, Faculty, Editors, and Administrators. |
| Student | A registered User who accesses the Platform primarily to consume educational content, undertake assessments, or receive mentorship in orthopaedic medicine and surgery. |
| Tutor | A qualified orthopaedic or medical professional registered on the Platform to deliver educational content, conduct live sessions, or provide mentorship. |
| Faculty | Senior academic professionals or institutional educators registered to deliver structured academic programmes or accredited content on the Platform. |
| Editor | A registered User with elevated content management privileges, responsible for reviewing, curating, formatting, and publishing educational content on the Platform. |
| Content | All educational materials, videos, podcasts, lectures, presentations, notes, assessments, QBank questions, flashcards, classifications, X-ray discussions, surgical approach guides, AI-generated responses, feedback, and any other material available on the Platform. |
| Session | Any live or pre-recorded educational interaction, webinar, workshop, or mentorship meeting conducted through the Platform. |
| User Data | All personal information, professional credentials, learning activity data, usage data, payment data, and any other data submitted to or collected by the Platform in relation to a User. |
| Intellectual Property | All copyrights, trademarks, service marks, trade names, patents, design rights, database rights, trade secrets, know-how, and all other proprietary rights subsisting anywhere in the world, whether registered or unregistered, in and to the Platform, its Content, and associated technologies. |
| Trademark(s) | The marks ORTHOMENTORS, ORTHOMENTORS.AI, the OrthoMentors logo, and any other marks, logos, or brand identifiers owned or controlled by OrthoMentors Private Limited, whether registered or pending registration. |
| Credits | The virtual credit units issued within the Platform to Users for the purpose of accessing specific Content, AI features, assessments, and other premium services, subject to the applicable credit policy. |
| AI Features | The artificial intelligence–powered tools and functionalities embedded within the Platform, including the AI Classroom, AI Notebook, adaptive QBank engine, and any other AI-assisted tools, powered by third-party large language models and APIs. |
| Agreement | Collectively, these Terms, the Privacy Policy, the applicable Tutor or Faculty Agreement, and any supplementary policies published on the Platform from time to time. |
2. Eligibility and Account Registration
2.1Eligibility
To use the Platform, you must: (a) be at least 18 years of age; (b) possess the legal capacity to enter into a binding contract under applicable law; (c) be enrolled in, or be a qualified professional within, the field of medicine, surgery, or a closely related health science; and (d) not be prohibited from receiving products, services, or software originating from India under applicable export control or sanctions laws.
Tutors and Faculty must additionally hold valid, current, and verifiable professional qualifications in orthopaedics, surgery, or a closely related medical discipline, and must maintain registration with the relevant Medical Council or professional regulatory body in their jurisdiction.
2.2Account Registration
You agree to: (a) provide accurate, complete, and current information during registration; (b) maintain and update your account information to ensure it remains accurate; (c) maintain the confidentiality of your account credentials; (d) not share your login credentials with any third party; and (e) be solely responsible for all activities conducted under your account.
You must notify us immediately at support@orthomentors.ai upon becoming aware of any unauthorised access to or use of your account. The Company shall not be liable for any loss arising from your failure to comply with this obligation.
2.3Tutor and Faculty Verification
All Tutors and Faculty are required to submit relevant professional credentials, qualifications, and registration details as specified during the onboarding process. The Company reserves the right, at its sole discretion and without any obligation to provide reasons, to: (a) approve or reject any Tutor or Faculty application; (b) suspend or revoke Tutor or Faculty status at any time; and (c) require re-verification of credentials periodically.
Approval as a Tutor or Faculty member does not constitute endorsement of the individual's professional standing or the quality of their content.
3. Permitted Use & Conduct
3.1Licence Grant
Subject to your compliance with these Terms, OrthoMentors Private Limited grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for lawful educational and professional development purposes consistent with these Terms. This licence does not include any right to resell, commercially exploit, or create derivative works from the Platform or its Content.
3.2Prohibited Conduct
You agree that you shall not, and shall not permit, facilitate, or encourage any third party to:
Platform Integrity
Any suspected breach of this clause must be reported immediately to security@orthomentors.ai. The Company reserves the right to take all appropriate legal action, including criminal referral.
4. Tutor and Faculty Obligations
4.1Standards
Tutors and Faculty agree to deliver all content and conduct all Sessions in strict conformity with professional and ethical standards, including those set by the National Medical Commission (NMC), the Medical Council of India (MCI), and relevant professional bodies. Content must be accurate, evidence-based, and current.
4.2Responsibility
Tutors and Faculty bear sole and exclusive responsibility for the accuracy and appropriateness of their content. The Company does not warrant or endorse Tutor-provided Content and disclaims all liability connected therewith.
4.3Licensing
By submitting Content, Tutors grant OrthoMentors a worldwide, perpetual, royalty-free, irrevocable licence to host, store, reproduce, and distribute such Content for platform operation and improvement.
4.4Cancellations
Cancellations of scheduled Sessions must be communicated at least [48] hours in advance. Repeated last-minute cancellations (within [6] hours) may result in account suspension or removal.
5. Student Obligations
5.1Conduct
Students agree to engage respectfully and professionally with all platform members. Harassment, bullying, or disruptive behaviour will result in immediate termination of account access.
5.2Academic Integrity
Assessments must be completed honestly and independently. Plagiarism, sharing QBank content, or using unauthorised AI tools for assessments is strictly prohibited.
6. Pricing & Payments
Access to premium features may be subject to subscription plans or a virtual credit system. All fees are clearly displayed on the Platform prior to purchase, are in Indian Rupees (INR), and are inclusive of applicable taxes. Payments are securely processed via Razorpay or designated payment processors.

OrthoMentors is a fully digital learning management platform. Upon successful payment, access to digital content, subscriptions, or virtual credits is granted immediately or as per the scheduled session time directly within your account. As no physical goods are sold or dispatched, shipping is not applicable.
9. Intellectual Property Rights
All Platform architecture, algorithms, AI models, and curated Content are exclusively owned by OrthoMentors Private Limited. Use of Trademarks (ORTHOMENTORS, ORTHOMENTORS.AI) without written consent is strictly prohibited.
10. Confidentiality
You agree to maintain strict confidentiality regarding proprietary platform information, unpublished Content, and AI system configurations.
11. Disclaimer of Warranty
Critical Disclaimer
THE PLATFORM AND ALL CONTENT ARE PROVIDED SOLELY FOR EDUCATIONAL AND PROFESSIONAL DEVELOPMENT PURPOSES. NOTHING ON THE PLATFORM CONSTITUTES CLINICAL ADVICE, A DIAGNOSIS, OR A SUBSTITUTE FOR PROFESSIONAL CLINICAL JUDGMENT.
ORTHOMENTORS DISCLAIMS ALL RESPONSIBILITY FOR CLINICAL DECISIONS MADE ON THE BASIS OF PLATFORM CONTENT.
12. Indemnification
You agree to indemnify and hold harmless OrthoMentors Private Limited from any claims, damages, or losses arising from your use of the Platform or breach of these Terms.
13. Termination
We reserve the right to suspend or terminate access at our sole discretion for any breach of terms or conduct harmful to the community.
14. Governing Law
These Terms are governed by Indian law. Disputes shall be resolved through mandatory binding arbitration in Chennai, Tamil Nadu, India.
Agreement Acknowledgement
By accessing or using the OrthoMentors.ai platform, you acknowledge that you have read these terms in full and agree to be legally bound by them.
Individual
Standard user agreement for students and practitioners.
Institutional
Representative authority required for organisational access.
